These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and BIPS Technologies Inc. ("BIPS", "we", "us", or "our") governing your access to and use of the bips.ca website, mobile applications, and the BIPS mortgage intelligence platform (collectively, the "Service").
By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.
You must be at least 18 years of age and a licensed mortgage professional or authorized representative of a mortgage brokerage to use this Service.
BIPS is a software-as-a-service (SaaS) platform designed for Canadian mortgage brokers and professionals. The Service provides:
The Service is a tool to assist mortgage professionals and does not constitute financial, legal, or mortgage advice. Users remain solely responsible for all lending decisions and recommendations made to clients.
To access most features of the Service, you must register for an account. You agree to:
We reserve the right to suspend or terminate your account at any time for violation of these Terms, suspected fraudulent activity, or any other reason at our sole discretion. You may terminate your account at any time by contacting us at support@bips.ca.
We offer multiple subscription tiers (Free, Professional, and Enterprise) with varying features and usage limits. Current pricing and features are available on our pricing page.
We may offer a free trial period. At the end of the trial, your account will be converted to a paid subscription unless you cancel before the trial ends.
All fees are non-refundable except as required by law or as expressly stated in these Terms. If you cancel your subscription, you will continue to have access to the Service until the end of your current billing period.
All fees are exclusive of applicable taxes (including GST/HST and provincial sales taxes). You are responsible for paying all taxes associated with your subscription.
You agree not to use the Service to:
You retain ownership of all content and data you upload to the Service ("User Content"), including mortgage scenarios, lender notes, and client information. By uploading User Content, you grant us a limited license to store, process, and display your content as necessary to provide the Service.
You are solely responsible for the accuracy and completeness of all data you enter into the Service. We do not verify the accuracy of mortgage scenario data, lender information, or any other User Content.
You acknowledge that you may enter confidential client information into the Service. You are responsible for obtaining appropriate consent from your clients before entering their personal information and for complying with all applicable privacy laws.
You may export your User Content at any time using available export features. Upon account termination, you will have 30 days to export your data before it is deleted.
The Service, including its original content, features, functionality, and underlying technology, is owned by BIPS and is protected by Canadian and international copyright, trademark, patent, trade secret, and other intellectual property laws.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during your subscription period.

The Service uses artificial intelligence to analyze documents, extract data, and match mortgage scenarios with lenders. You acknowledge and agree that:
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that:
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIPS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
Our total liability for any claims arising from or related to these Terms or the Service shall not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) one hundred Canadian dollars (CAD $100).
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you.
You agree to indemnify, defend, and hold harmless BIPS and its officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
We may revise these Terms at any time by posting an updated version on our website. Material changes will be communicated via email or through the Service. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any dispute arising out of or related to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, the dispute shall be submitted to binding arbitration in Toronto, Ontario, in accordance with the Arbitration Act, 1991 (Ontario).
You agree to resolve any disputes with us on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.
These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and BIPS regarding the Service.
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control.
